Terms of Service

You must be at least 16 years old (or the age of digital consent in your country) to use the Service. You are responsible for keeping your login credentials secure and for all activity under your account. Provide accurate information and notify us promptly of any unauthorized use at support@karyaboard.com.

KaryaBoard provides AI-assisted project management features such as Kanban boards, stories, tasks, collaboration tools, optional GitHub repository integration, AI suggestions, and related workflows. Features may vary by plan (Free, Pro, Scale, and any promotions we offer). We may modify, suspend, or discontinue features with reasonable notice when practicable.

Paid plans are billed through Razorpay (or another processor we designate). Prices, included seats, and feature entitlements are described on our pricing page or in-product billing screens. Free trials (for example a 14-day Pro trial) convert to paid access or revert according to the trial terms shown at signup unless you cancel before the trial ends.

Fees are generally non-refundable except where required by law or expressly stated by us. You authorize us and our payment processor to charge applicable fees. Taxes may apply. We may change prices with notice for subsequent billing periods.

Connecting GitHub is optional. When you authorize GitHub OAuth, you grant KaryaBoard access consistent with the requested scope (currently repo) so we can list repositories, read commits/diffs, link commits to tasks, and run AI-assisted analysis you request. You represent that you have the right to grant that access for the repositories you connect. You can disconnect GitHub in the product. We do not claim ownership of your GitHub repositories or code.

AI features generate drafts, suggestions, and analyses. They may be incomplete, inaccurate, or inappropriate. You are solely responsible for reviewing outputs before approving tasks, changing boards, or acting on repository insights. AI does not autonomously modify your GitHub repositories or ship code on your behalf. Do not rely on AI outputs as professional legal, security, or engineering advice.

You retain ownership of content you submit to the Service ("Your Content"). You grant us a limited license to host, process, transmit, and display Your Content solely to operate and improve the Service (including sending necessary context to AI and infrastructure providers). You represent that you have rights to Your Content and that it does not violate law or third-party rights.

You agree not to:

• Break the law or infringe others' rights
• Probe, scan, or attack the Service, or bypass access controls
• Abuse APIs, scrape at unreasonable rates, or disrupt other users
• Upload malware or content that is illegal, harassing, or harmful
• Misuse another person's GitHub account or tokens
• Resell or white-label the Service without our written permission
• Use the Service to build a competing product by systematically copying our features or content

The Service, branding, UI, and underlying software (excluding Your Content and third-party materials) are owned by the Operator or licensors. These Terms do not grant you any right to copy, modify, or redistribute our software except as needed to use the Service.

The Service depends on third parties such as Firebase, GitHub, Mistral AI, Razorpay, database hosting, and Vercel. Their terms and availability are outside our full control. Outages or changes at those providers may affect KaryaBoard.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted or error-free operation, or that AI or GitHub-related features will meet your requirements.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR USD $50 IF YOU HAVE PAID NOTHING). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.

You will defend and indemnify the Operator against claims arising from Your Content, your use of the Service, your GitHub authorizations, or your breach of these Terms, except to the extent caused by our willful misconduct.

You may stop using the Service and cancel paid plans according to in-product billing controls. We may suspend or terminate access if you violate these Terms, create risk for other users, or fail to pay fees. Upon termination, your right to use the Service ends. Sections that by nature should survive (including ownership, disclaimers, liability limits, and indemnity) will survive.

These Terms are governed by the laws of the jurisdiction where the Operator resides, without regard to conflict-of-law rules, except where mandatory consumer protections in your country apply. Before filing a claim, contact support@karyaboard.com so we can try to resolve the issue informally.

We may update these Terms by posting a new version on this page. Material changes will be indicated by updating the "Last updated" date. Continued use after changes become effective constitutes acceptance.
